1. Definitions

In these Terms:

• "Orinthia", "we", "us", or "our" refers to Orinthia, operating from 138 Robinson Road, #14-08, Oxley Tower, Singapore 068906.
• "Participant" or "you" means any individual who submits an enquiry, registers an interest, or attends an Orinthia programme.
• "Programme" means any reading circle, discussion workshop, or educational session offered by Orinthia.
• "Materials" means workbooks, worksheets, glossaries, cohort newsletters, and any other written or digital content distributed through our programmes.
• "Website" means the website operated at orinthia.site.

2. Acceptance of Terms

By using the Website or participating in a Programme, you confirm that:

• You are at least 18 years of age.
• You have the legal capacity to enter into a binding agreement.
• You accept these Terms in full and without reservation.

If you do not accept these Terms, please do not use our Website or request enrolment in any Programme.

3. Service Description

Orinthia offers educational reading circles and discussion-based workshops for adults in Singapore. Our current programmes are:

• CPF Landscape Reading Group — four sessions over two months (S$165).
• Pre-Retirement Reading Circle — six monthly Saturday sessions (S$420).
• Document Organisation Programme for Personal Finance — four evening sessions (S$780).

All programmes are purely educational. Nothing presented in any Orinthia programme constitutes financial, investment, legal, or professional advice of any kind. Orinthia is not a licensed financial adviser and does not hold itself out as one.

Programmes are available to residents of Singapore. Availability is subject to minimum cohort requirements and scheduling. Orinthia reserves the right to postpone or reschedule sessions with reasonable notice.

4. Enrolment

Submitting an enquiry through our Website does not constitute a binding enrolment. A place is confirmed only when:

• Orinthia sends a written confirmation of your place, and
• The programme fee has been received in full prior to the first session.

Places in each cohort are limited. Orinthia does not hold places without payment confirmation.

5. Participant Responsibilities

By participating in a Programme, you agree to:

• Engage with the provided reading materials prior to each session where instructed.
• Attend sessions respectfully and allow all participants reasonable opportunity to contribute to discussion.
• Not record, photograph, or share session content without prior written consent from Orinthia.
• Not use Materials for commercial purposes or distribute them to third parties.
• Provide accurate information during the enrolment process.

6. Intellectual Property

All content on the Website and all Programme Materials — including text, layout, workbooks, worksheets, and glossaries — are the intellectual property of Orinthia or its licensors and are protected under applicable Singapore law.

You are granted a limited, personal, non-transferable licence to use Materials for your own private educational reference only. This licence does not permit reproduction, redistribution, sublicensing, or any commercial use.

7. Fees and Payment

All fees are quoted in Singapore Dollars (SGD) and are inclusive of any applicable goods and services tax where required. Payment details are provided upon confirmation of your enquiry. Accepted payment methods are communicated during the enrolment process.

Refund policy: Where a participant withdraws more than 14 calendar days before the first session, a full refund will be provided. Withdrawals between 7 and 14 days before the first session will receive a 50% refund. No refund is available for withdrawals with fewer than 7 days' notice or after a programme has commenced. Where Orinthia cancels a session for any reason, participants will receive a full refund of the unused portion of their fee, or the option to transfer to the next available cohort.

8. Cancellations and Transfers

If you are unable to attend a session, please notify us at [email protected] as early as possible. Session recordings are not provided; however, session summary notes may be available at Orinthia's discretion.

Transfers to a different cohort may be requested and are subject to availability. Transfer requests must be received at least 7 days before the first session of the originally enrolled cohort.

9. Programme Conduct

Orinthia is committed to maintaining a respectful and collegial environment. We reserve the right to ask any participant to leave a session — and, where necessary, to withdraw their enrolment without refund — where their conduct is disruptive, offensive, or inconsistent with the educational purpose of the programme.

10. Disclaimers

Orinthia's programmes are educational in nature and are not a substitute for personalised professional advice. Nothing shared during our sessions constitutes financial, investment, tax, accounting, or legal advice. Participants should consult appropriately qualified professionals for advice specific to their circumstances.

Public scheme information discussed during sessions is sourced from publicly available government documentation and is presented for educational reference only. Orinthia does not warrant the completeness or currency of any scheme information as regulations may change.

The Website and its content are provided on an "as available" basis. Orinthia does not warrant that the Website will be free from errors or uninterrupted.

11. Limitation of Liability

To the fullest extent permitted by law, Orinthia's liability to any participant is limited to the fees paid by that participant for the relevant Programme. Orinthia will not be liable for any indirect, consequential, or incidental loss arising from participation in a Programme or use of the Website, including any financial decisions made following attendance.

Nothing in these Terms excludes liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

12. Indemnification

You agree to indemnify and hold harmless Orinthia, its staff, and facilitators from any claim, damage, or expense (including reasonable legal fees) arising from your breach of these Terms or your conduct during a Programme.

13. Termination

Orinthia may terminate or suspend your access to Programmes at its discretion where you have breached these Terms. On termination, your licence to use Materials ceases immediately, though provisions relating to liability, intellectual property, and dispute resolution survive.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Singapore. Any dispute arising from these Terms or your participation in a Programme shall first be referred to informal resolution by written notice to [email protected]. If the dispute is not resolved within 30 days, it shall be submitted to the non-exclusive jurisdiction of the courts of Singapore.

15. General Provisions

• Entire agreement: These Terms, together with any written programme confirmation, constitute the entire agreement between you and Orinthia.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
• Waiver: Orinthia's failure to enforce any provision on one occasion does not constitute a waiver of that provision.
• Assignment: You may not assign your rights under these Terms without our written consent.
• Notices: Notices to Orinthia must be sent by email to [email protected] or by post to the address above.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. For enrolled participants, material changes will be communicated by email. Continued participation following any update constitutes acceptance of the revised Terms.
